Company Formation & Secretarial

From forming your company with the right structure on day one, to keeping the statutory records straight for as long as you trade, we handle the Companies House side of running a business.

Starting a company, properly

Forming a company takes minutes online; forming it correctly (the right share structure, the right officers, PAYE and VAT registrations at the right time, and an understanding of what you've just taken on) takes experience. Our formation service includes:

  • Same-day electronic incorporation with your chosen name
  • Advice on share structure (worth getting right on day one; reorganising later is harder)
  • Corporation tax, PAYE and VAT registrations as needed
  • A plain-English briefing on your duties as a director
  • Registered office facility if you'd rather keep your home address off the public record

Ongoing company secretarial

Companies House compliance is easy to forget and tedious to fix. We keep it current:

  • Confirmation statements filed annually
  • Statutory registers maintained: members, officers, people with significant control
  • Officer appointments and resignations, share transfers and allotments
  • Changes to articles, company names and registered addresses
  • Minutes and resolutions drafted for directors' and members' decisions

Already trading, records in a mess?

It's common: registers never set up, statements filed late, share transfers never documented. We tidy the history, bring filings up to date and put the routine on our calendar instead of yours.

Common questions

Should I set up as a sole trader or a limited company?

It depends on your profits, risk, customers and plans. A company offers limited liability and can be more tax-efficient at higher profits, but brings filing obligations and costs. We'll run your actual numbers through both structures before you decide. The answer is rarely the same for everyone.

What is a confirmation statement?

An annual filing confirming Companies House holds the correct details about your company: officers, shareholders, people with significant control and registered addresses. Missing it can ultimately lead to the company being struck off. We file it as part of our secretarial service.

Can you act as my registered office?

Yes, useful if you work from home and would rather not publish your home address on the public register. Official mail comes to us and we deal with anything that needs action.
